Weekly merger, acquisition, deal update: June 15

This week Morrissey Goodale tracked three domestic deals and five international deals. This most recent activity brings the total year-to-date deal count in the United States to 78, down now just 9% from (and inching closer to) the 86 domestic deals tracked through the same period in 2011. Beyond the U.S., the total global deal count is now 147, down 15% from the 173 global deals tracked through the same period last year.

45-person full-service architecture firm M+A Architects(Columbus, OH) merged with healthcare architecture and design firm KMA Design Partners (KMA / DP) (Columbus, OH) to form K / M+A Healthcare Studio, a division of M+A Architects.  K / M+A focuses on acute-care and design-sensitive project types, including emergency departments, oncology centers, inpatient suites, diagnostic and treatment areas, cardiac care spaces, women & children's and pediatric facilities, and public areas in healthcare settings and anticipates expanding services to both regional and national health systems.  Link to details

Architecture, engineering and design firm to the institutional, educational and commercial marketsBBS Architects & Engineers (Patchogue, NY) acquired engineering, architecture, planning, surveying and sports facilities design firm Ward Associates (Bohemia, NY).  The merged company of more than 50 personnel will offer a full scope of mechanical, electrical, plumbing, and civil engineering, as well as architectural services to both regional and national clients.  Link to details

90-person multi-discipline engineering and design firm Stewart Engineering (Raleigh, NC) announced intentions to merge with 25-person landscape architecture, planning and engineering firmHadenStanziale (Durham, NC).  Terms of the deal are expected to be finalized in the coming months.  Link to details

Multi-discipline engineering firm Construction Control (CCI) (Toronto, Ontario, Canada) acquiredVVV Engineering (Burnaby, British Columbia, Canada), a building science consulting firm to the residential and commercial sectors and specializing in building envelope design, architectural envelope design, structural design, failure analysis, materials inspections, roofing and contract administration for both new construction and rehabilitation projects.  Link to details

Environmental engineering firm Strum Environmental (Bedford, Nova Scotia, Canada) purchased an 80-percent interest in 8-person land surveying and engineering firm HJS Consultants (Antigonish, Nova Scotia, Canada).  Link to details

International engineering and infrastructure firm Egis (Paris, France) acquired Aeroservice (São Paulo, Brazil), an airport consultancy and engineering firm with main clients that include public authorities and (increasingly of late) private consortiums positioning themselves with regards to airport privatization and modernization in Brazil.  Link to details

International construction, infrastructure and environmental engineering and project management consultancy The Artelia Group (Lyon, France) acquired DPG Plan (São Paulo, Brazil), an engineering, architectural design and project management firm operating in the industrial, logistics, office, hospital, ports facilities, and water and sanitation infrastructure sectors.  Link to details.  We also note that earlier in the quarter The Artelia Group also acquired 40-person construction, infrastructure and transportation firm Sotec (Toulouse, France).  Link to details

In an interesting note for the industry (though not considered a deal for the purposes of this update), engineering and design consultancy WS Atkins (London, United Kingdom) announced it is planning to broaden its financing over the next year to in particular help it expand in fast-growing energy and commercial aerospace sectors.  WS Atkins also intends to reduce its exposure in Britain over the next three years to about a quarter of group sales (down from 45-percent at present) in favor of high-growth overseas markets, saying it was also interested in making acquisitions in the defense and security sectors.  Earlier in March, WS Atkins' CEO indicated that the company would look for acquisitions that cost typically no more than $77.9M but also did not rule out "game-changing opportunities."  Link to details

In another interesting note for the industry (also not considered a deal for the purposes of this update), integrated environmental solutions company Waste Management (Houston, TX) announced a program to provide total stormwater management to U.S. municipalities in the form of public-private strategic alliances.  In collaboration with AbTech Holdings (Scottsdale, AZ), an environmental technologies and engineering firm specializing in addressing water contamination issues, Waste Management will team up with municipalities to design, build, operate and service stormwater infrastructure.  The program offering will also include stormwater needs assessments, design of stormwater control measures and the provision of ongoing servicing and maintenance of the stormwater infrastructure.  Link to details
