Nidec continues integrating 5 major Emerson motor brands

Nidec Motor continues to integrate two Emerson motor businesses and five Emerson motor lines after the October 2010 purchase. Even as opportunities increase for motor sales related to energy efficiency requirements, motor manufacturers seek opportunities for broader market reach through acquisitions.

Nidec Nidec - EmersonMotor (NYSE: NJ), based in Kyoto, Japan, continues to integrate most of the Emerson (NYSE: EMR) motor lines after completing the purchase in October 2010. Even as opportunities increase for motor sales related to energy efficiency requirements, motor manufacturers seek opportunities for broader market reach through acquisitions. (See ABB buys Baldor).

Nidec purchased two major Emerson Motor Company businesses—Emerson's Commercial and Industrial Motors (CIM) and Emerson Appliance Motors and Controls (EAMC), which accounted for more than $800 million in sales in fiscal 2009, Emerson said, with brands and product lines for ELine, Emerson, Hurst, SR Drives, and US Motors. Operations include facilities in the U.S., Canada, Mexico, and the UK. Products include general and special purpose electric motors from 1/200 through 5,000 horsepower, supporting applications including commercial and industrial, appliance, automotive, pump, and HVAC, including four out of five “white goods appliances in North America.”

Emerson kept its hermetic motors business, which serves Emerson Climate Technologies' Copeland Scroll compressors, and the large motor business based in Europe (Leroy-Somer), as well as Emerson Air Comfort Products in the U.S., which makes the Emerson Ceiling Fan.

Nidec describes itself as an $8 billion precision manufacturer of small and medium-size motors and fans for IT/consumer electronics, automobiles, home appliances, and industrial applications. The company also manufactures electronic/optical components and machinery.

The sale followed a six-month evaluation process by the companies, and, under the terms of the sale, Nidec Corp. agreed to retain related facilities and employees, and maintain headquarters for the businesses in St. Louis. In addition, Nidec said it intends to retain existing facilities and Emerson management and employees, operating from a headquarters building for Emerson Motor Technology Center on the Emerson campus.

"We are very excited about the potential for future growth of these businesses as part of Nidec Corporation," said Shigenobu Nagamori, founder and CEO of Nidec. "Emerson's reputation for innovation, quality and service built over the years is very much aligned with Nidec's principles and values. These businesses of motors and control technologies will be key to our long-term business strategy as we invest and further strengthen our capabilities in the North American market."

In an Emerson statement about the sale, Craig Ashmore, executive vice president, planning and development, Emerson, said, "Emerson was committed in this process to assuring that if the businesses were sold, they would end up in the hands of a strong company that would create a successful environment for its employees and customers. While there was considerable interest from many solid companies, Nidec Corporation's proposal provided overwhelming value for everyone: our customers, employees and shareholders."

The integration continues Nidec’s growth. In January 2010, Nidec also acquired Sole Motors (currently, Nidec Sole Motor Corporation S.R.L.). The company also said it has strengthened its home appliance motor business in Europe; will take advantage of synergies with existing lines in development, production, and sales; and will add the acquired business’s large industrial motors and medium-sized central air conditioning motors to its current portfolio. Nidec also intends “to apply high-level motion control technologies of the acquired business to the development of next-generation products such as motors for electric vehicles, and seek further growth in our automobile motor business.”

Nidec Copal’s OD miniature dc gear motors develop high shaft torque, speeds ranging from 1400 rms down to 40 rpm.The Emerson business operates under Nidec Motor Corp., a new Nidec U.S. subsidiary established for the acquisition, led by Chairman Shigenobu Nagamori (representative director, president and chief executive officer of Nidec), Director Motoyoshi Hanaoka (vice president of Nidec), and Director, President and Chief Executive Officer Patrick K. Murphy (previously president of Emerson Electric Company's appliance motor division). Nidec said it is the world's leading manufacturer of small precision motors, including motors used in hard disk drives and optical disk drives (including Blu-ray disk drives) and sees “high future growth potential” with expansions into the home appliance and automotive markets.
