Teledyne Technologies Inc. agreed to acquire Rockwell Scientific Co. for $167.5 million in cash, with the sellers retaining certain liabilities. Rockwell Scientific is 50% owned by Rockwell Automation and Rockwell Collins, and the acquisition is subject to customary closing conditions. For fiscal year ended Sept. 30, 2005, Rockwell Scientific had revenue of $114 million.

Headquartered in Thousand Oaks, CA, Rockwell Scientific provides research and development services, and develops and manufactures infrared and visible light imaging sensors for surveillance. Rockwell Scientific’s R&D capabilities for microwave and millimeter-wave semiconductors, RF MEMS, and very high-speed mixed signal circuits, are said to be complementary to several Teledyne business units.

Current owners agreed to continue to fund research performed by the company, and Teledyne agreed to license certain intellectual property from Rockwell Automation and Rockwell Collins. www.rockwellscientific.com
