Weekly merger, acquisition, deal update: May 4
This week Morrissey Goodale tracked two domestic deals and six international deals. This most recent activity brings the total year-to-date deal count in the United States to 52, down 18% from the 64 domestic deals tracked through the same period in 2011. Beyond the U.S., the total global deal count is now 101, down 21% from the 129 global deals tracked through the same period last year.

As the 2012 First Quarter Review shows, industry consolidation slowed in the first quarter - contrary to forecasts. However, as evidenced by this week's deals, the global mining, energy and power sectors show robust activity with no shortage of buyers looking to diversify their earnings via the addition new service lines, client types and geographies.
5/2/2012 Consulting, engineering, program management, construction and technical services leader Tetra Tech (Pasadena, CA) signed a definitive agreement to purchase CRA Engenharia (Belo Horizonte, Brazil), a 310-person mining engineering practice that provides EPCM services focused primarily on iron ore and precious metal clients. Link to details 4/30/2012 Middle-market private equity firm CIVC Partners (Chicago, IL) acquired EN Engineering (Woodridge, IL), a 350-person, leading energy-focused professional services firm providing engineering, consulting, automation and integrity management services to the natural gas, liquid petroleum and related industrial markets. EN Engineering performs engineering and consulting services for most of the major natural gas transmission, distribution, and liquid pipeline companies. Participating in the transaction were Madison Capital Funding (providing senior debt financing) and both Hartford Investment Management Company and Brookside Mezzanine Partners (providing mezzanine financing). Link to details 5/3/2012 Community-based wind power development and management company Juhl Wind (Pipestone, MN) acquired Power Engineers Collaborative (PEC) (Milwaukee, WI), a multi-discipline engineering firm specializing in the power industry, renewable sector, heavy industry and building systems markets. Link to details 5/2/2012 In a very interesting and noteworthy initiative for the industry (though not considered a deal for the purposes of this update) global architecture and design firm NBBJ (Seattle, WA) entered into a 50/50 joint venture with American Shared Hospital Services (AMS) (San Francisco, CA), a leading provider of turnkey technology solutions for radio surgical and radiation therapy services, to commercialize and sell patented and patent-pending technologies designed to increase efficiency and improve patient outcomes in the operating room. Link to details 5/1/2012 Engineering, construction services, planning and design firm Dessau (Laval, Quebec, Canada) acquired MG Ingenieros (Santiago, Chile), a 30-person engineering firm specializing in mining processes and industrial infrastructure, with a special focus on structures, mills, concentrators and foundries. Link to details 4/26/2012 Global mining, metallurgical, energy and infrastructure engineering and construction services firm Hatch (Mississauga, Ontario, Canada) acquired MEK Engenharia (Rio De Janeiro, Brazil), a 120-person multi-discipline engineering firm to the energy and power sector, with particular experience in the design of hydropower stations and wind power. Link to details 5/2/2012 Global renewable energy and risk management experts DNV (Oslo, Norway) acquired the oil spill preparedness company Norwegian Petro Services (NPS) (Harstad, Norway). With the acquisition, DNV can combine its environmental risk and oil spill analysis services with NPS' specialist expertise in planning and organizing spill preparedness to provide a complete service portfolio to its client base. Link to details 4/27/2012 Consulting engineering, environmental technology and architecture firm Sweco (Stockholm, Sweden) acquired 18-person residential architecture and housing design firm Brunow & Maunula Architects(Helsinki, Finland). Link to details 4/24/2012 Venture capital firm EV (Birmingham, United Kingdom) backed a management buyout of 22-person engineering consultancy Health, Safety and Engineering Consultants (HSEC) (Leicestershire, United Kingdom). Originally established in 1991 to provide engineering services for British Coal, HSEC now provides forensic investigation and expert witness services for law firms and insurance companies in cases involving dealing personal injury, commercial liability and health and safety. Link to details 4/27/2012 In another interesting and noteworthy initiative for the industry (also not considered a deal for the purposes of this update), leading provider of advanced positioning solutions and products Trimble(Sunnyvale, CA) entered into a definitive agreement to acquire 3D modeling tool SketchUp from Google. As part of the SketchUp platform, Trimble will also partner with Google on running and developing SketchUp's 3D Warehouse, an online repository where users can find, share, store and collaborate on 3D models.
