Weekly merger, acquisition, deal update: October 12

This week Morrissey Goodale tracked four domestic deals and three international transactions. This brings the total year-to-date deal count in the United States to 138, up 2% over the 135 domestic deals tracked through the same period in 2011. Including the U.S., the total global deal count is now 251, down 5% to the 265 global deals tracked through the same period last year.

Leading engineering design and construction management firm The Burns Group (Philadelphia, PA) announced the acquisition of the Philadelphia-based Structures Division of structural, civil, environmental and building envelope engineering firm Klein and Hoffman (Philadelphia, PA). The acquired division includes Klein and Hoffman's buildings, transportation and environmental structures groups in Philadelphia and New York City, and its environmental structures group in Chicago. Matthew Burns, President and CEO of Burns, emphasized that "The addition of Klein and Hoffman's core structural engineering assets reinforces Burns' mission of applying uncommon skill and talent to solve the toughest engineering challenges. We have worked together with Klein and Hoffman for many years guiding our clients to successful engineering solutions, and now with this acquisition, we can better deliver a superior client experience." Klein and Hoffman is a 60-year-old, diversified structural engineering and architectural restoration firm based in Chicago, with regional offices in Philadelphia and New York City. After the acquisition, Klein and Hoffman will retain its Architectural and Structural Restoration groups in Chicago and Philadelphia, and will continue to provide structural engineering services from its Chicago base under the Klein and Hoffman name. Leading engineering, environmental and energy consulting firm Golder Associates (Atlanta, GA) acquired leading consultancy in geotechnical and foundation engineering Geotechnical Consulting Group (GCG) (Hong Kong). This acquisition, combined with the late 2011 acquisition of GeoEng Consultants in Singapore, further develops Golder's capacity to provide its clients with extensive geotechnical and niche contracting services in the Asian market. Golder's regional focus in Hong Kong and elsewhere in Asia has recently included the provision of health and safety assessments, primarily for the manufacturing and merger and acquisition market, as well as remediation and environmental projects for various infrastructure projects in China and throughout Asia. Full-service engineering, architecture, survey and construction management firm Huitt-Zollars (Dallas, TX) announced the acquisition Coon Engineering (CEI) (Oklahoma City, Oklahoma), an engineering design, surveying and construction management firm servicing a wide range of projects in Oklahoma, Arkansas, Texas, Colorado, Kansas and Arizona. Fully integrated and multidisciplinary architecture, engineering, interior design, urban design and planning firm DIALOG (Calgary, Canada) merged with landscape architecture and urban design firm Carlyle + Associates (Calgary, Canada). The merger follows an over decade-long collaboration on projects between the firms. Through the merger, DIALOG adds landscape architecture to its portfolio of services that it can offer from its current offices in Calgary, Edmonton, Toronto and Vancouver. Link to details

Leading international environmental consultancy SLR Consulting (Hollingsworth Court, United Kingdom) acquired GSS Environmental (GSSE) (Newcastle, Australia), a 50-person environmental, land and project management consultancy to the mining, minerals, land development and natural resources sector. It is worth noting that this is SLR's first acquisition since securing $24 million in acquisition financing in July to be used for international expansion in growth regions and market sectors, particularly in energy and natural resources. Global leader in reliability consulting, predictive maintenance and maintenance repair services Predictive Service (Cleveland, OH) announced the acquisition of Integrated Engineering Consultants (IEC) (Cleveland, OH), a consulting engineering firm focused on the design, engineering, and commissioning of energy efficient mechanical, electrical and plumbing systems. Moving forward, IEC will form the foundation of the new Predictive Service Engineering Group. Link to details

In an interesting and noteworthy deal (though not considered a transaction for the purposes of this update) energy and power infrastructure contractor Primoris Services Corporation (McKinney, TX) announced that its Primoris Energy Services subsidiary acquired the assets of The Saxon Group (Atlanta, GA), a full-service industrial construction enterprise with special expertise in the industrial gas processing and power plant sectors, including providing high-level mechanical, piping, and electrical services to clients in the power, industrial gas processing, and mid-stream energy markets. Moving forward, Saxon will operate as Saxon Construction and will become a part of Primoris' East Construction Services Segment. Primoris, through various subsidiaries, is one of the largest specialty contractors and infrastructure companies in the U.S., providing a range of construction, fabrication, maintenance, replacement, water and wastewater, and engineering services to major public utilities, petrochemical companies, energy companies, municipalities, and other customers. In another interesting and noteworthy deal (also not considered a transaction for the purposes of this update), engineering, project delivery and mining contractor Calibre Group (Perth, Australia) will complete its seventh acquisition in two years as it has agreed to purchase G&S Engineering Services (Queensland, Australia), a 1,000-person mining services company providing operations, maintenance, and asset management services primarily to the coal sector.
