Weekly merger, acquisition, deal update: October 19

This week Morrissey Goodale tracked five domestic deals and three international transactions. This brings the total year-to-date deal count in the United States to 143, up slightly over the 142 domestic deals tracked through the same period in 2011. Including the U.S., the total global deal count is now 259, down 6% from the 275 global deals tracked through the same period last year.

Earlier this week, multi-discipline engineering firm KCI Technologies (Sparks, MD) announced the acquisition of ESPA CORP (Houston, TX), a civil engineering, planning, and construction and program management firm specializing in transportation, infrastructure and facilities projects and featuring established relationships with local and state clients, including the city of Houston and its various political subdivisions, Harris County, the Port of Houston, local educational institutions and the Metropolitan Transit Authority of Harris County. KCI Technologies, ranked 96 on the Engineering News-Record'scurrent list of the top 500 engineering firms in the country, features approximately 950 employee owners operating from over 20 offices throughout the eastern and central United States and offers services that include environmental, transportation, telecommunications, construction, facilities and land development services for government, institutional and private-sector clients. Morrissey Goodale LLC initiated the transaction on behalf of KCI Technologies.  Link to details

Late this week, KCI Technologies (Sparks, MD) also announced the acquisition of Triplett-King & Associates (TKA) (Rock Hill, South Carolina), a 45-person full-service engineering firm specializing in structural engineering, construction engineering and inspection services for transportation projects across South Carolina, North Carolina, Georgia and Virginia. Featuring a robust client base of state and local transportation agencies and contractors, TKA also specializes in design-build engineering, value engineering, constructability reviews, and construction engineering for bridge and highway contractors.  Link to details

Multi-discipline engineering and design firm Pennoni Associates (Philadelphia, PA) announced the acquisition of Green Stone Engineering (Wilmington, DE), a multi-discipline engineering firm providing civil and environmental engineering services that include water resources engineering, water and wastewater engineering, civil site design, and construction services. The acquisition will bring Pennoni supplemental capabilities in sustainable design, wastewater and ecological services. Link to details

Consulting, engineering, program management, construction and technical services leader Tetra Tech(Pasadena, CA) acquired Applied Science Consultoria (ASA Brazil) (Sao Paulo, Brazil), a 50-person coastal and oceanographic consulting firm specializing in the provision of oceanic modeling and engineering services primarily to offshore oil and gas companies. The acquisition is Tetra Tech's second in Brazil in 2012, following the acquisition in June of mining engineering practice CRA Engenharia (Belo Horizonte, Brazil). Link to details

Environmental consulting and engineering firm Liberty Environmental (Reading, PA) acquired the assets of environmental consulting and planning firm Alternative Environmental Solutions (AES)(Lancaster, PA).  Liberty Environmental offers expertise in air quality management, regulatory compliance and environmental engineering and through the acquisition will in particular bolster its services of site assessment and water resources services.  The acquisition will also facilitate Liberty's further penetration into the Central Pennsylvania region by expanding upon its current office locations in Reading, Philadelphia and Atlanta and will bring the total number of employees to 26 at the firm.  Link to details

Leading engineering and testing firm Professional Service Industries (PSI) (Oakbrook Terrace, IL) announced the acquisition of Hi-Tech Testing Service (Longview, TX), a 300-person full-service nondestructive testing, inspection and consulting organization with specialized data collection equipment and reporting capabilities. PSI is a 2,300-person provider of a range of environmental, engineering and testing services, including environmental consulting, geotechnical engineering, construction materials testing and engineering, industrial hygiene services, facilities and roof consulting, nondestructive examination (NDE), and specialty engineering and testing services. Link to details

Global multi-discipline technical consulting firm The AF Group (AF) (Stockholm, Sweden) announced a merger with 1,600-person Epsilon Holding (Epsilon) (Malmo, Sweden), one of Scandinavia's leading technology and systems consultancies offering services and solutions across a range of sectors, including energy, automotive, telecommunications, pharmaceuticals, medical devices, IT, life sciences, the offshore sector and other industries. The merger is being driven by the fact that the two firms share a common culture and complement each other in terms of technical expertise, service offerings, customer base and geographical presence. Once completed (anticipated closing of November 30), the merger will create one of Northern Europe's leading technology consulting companies. Link to details
