Made2Manage Systems Inc. recently paid about $3.4 million in cash and issued 91,000 shares of stock to acquire California-based Bridgeware, which provides advanced planning and scheduling (APS) software and related services to manufacturers in North America, South America, and Europe. Made2Manage Systems company plans to account for the acquisition as a one-time, nonrecurring research and development charge of approximately $3 million occurring in 3Q98. Excluding the one-time charge, Made2Manage Systems expects the transaction to be nondilutive in its current fiscal year ending Dec. 31, 1998.

Made2Manage and Bridgeware officials say the acquisition will enable them to help more small- and medium-sized manufacturers afford and use APS software to compete effectively.

Under the new structure, Bridgeware will continue to develop, market and support its products as components that interface with enterprise resource planning (ERP) and other core business systems. Kyle Sanford, Bridgeware’s president and a co-founder, will remain as general manager of the Bridgeware business unit and key Bridgeware management and personnel will be retained following the acquisition.
