Weekly merger, acquisition, deal update: November 16

This week Morrissey Goodale tracked five domestic deals and one international transaction. This brings the total year-to-date deal count in the United States to 160, equal to the domestic deals tracked through the same period in 2011. Including the U.S., the total global deal count is now 282, down 7% from the 303 global deals tracked through the same period last year.

Leading geotechnical, environmental, construction materials and facilities services firm Terracon Consultants (Olathe, KS) acquired Earthtec (Roseville, CA), a provider of geotechnical, environmental, special inspection and construction materials testing services in central and Northern California.  Earthtec features a wide client portfolio, including experience within the commercial/retail, industrial, healthcare, telecommunications, education, government and A/E/C sectors. Link to details

In its fourth transaction of the year, leading North American design firm Stantec (Edmonton, Alberta, Canada) signed a letter of intent to acquire the assets of 150-person engineering and design firm C3TS (Coral Gables, FL).  Featuring additional offices in Fort Lauderdale, Boca Raton, West Palm Beach and Orlando, C3TS provides transportation and civil engineering, architecture, and environmental engineering services to major transportation agencies, municipalities and education institutions across the state of Florida. The transaction is expected to close at the end of November and in particular will augment Stantec's multidiscipline engineering and environmental services in Florida and the southeast U.S., bolster its presence along Florida's Atlantic Coast, and bring its total staff in the state of Florida to more than 350 across 12 offices. Link to details

Global engineering, architecture and science consulting firm Kleinfelder (San Diego, CA) acquired Omni Environmental (Princeton, NJ), a 16-person consultancy offering services in the areas of water quality management, environmental contamination, renewable energy and other expert services including the provision of strategic planning and regulatory compliance support to a wide variety of public and private sector entities throughout the country. Moving forward, Omni will operate under the co-branded name Kleinfelder/Omni. We also note that late last week Kleinfelder also acquired Alliance Environmental Engineering & Consulting (Alliance) (St. Kilda, Australia), a 30-person provider of environmental services focused on the assessment, investigation, and remediation of impacted land and water. In particular, Alliance provides environmental, project management, civil contracting and strategic advice services to clients in the petrochemical, manufacturing, construction and real estate/development industries. Link to details

International environmental consulting firm specializing in industrial air quality issues Trinity Consultants (Dallas, TX) merged with Enviro One (Baton Rouge, LA), an air quality consulting firm focused largely on the chemical, ship building/stevedoring, and pulp and paper industries. The merger will complement Trinity's existing air quality consulting coverage in the Gulf Louisiana and Gulf Coast region, expand its expertise in certain select industries and better serve clients of both firms in the Baton Rouge market. Link to details

Full-service, multi-discipline consulting engineering and planning firm Cameron Engineering & Associates (Woodbury, NY) acquired Laszlo Bodak Engineer (New York City, NY), a provider of heating, ventilation and air conditioning, electrical, sanitary, fire protection and site engineering design services for new and rehabilitation projects across numerous client/market sectors. Moving forward, Laszlo Bodak Engineer will become an affiliate of Cameron Engineering & Associates and will operate under the name of Bodak-Cameron EngineeringLink to details

In an interesting note (though not considered a transaction for the purposes of this update), 150-person geosciences, engineering consulting and environmental remediation services firm INTERA (Austin, TX) completed a $5 million funding deal intended to finance a mergers and acquisitions strategy. INTERA, which specializes in providing environmental, water resources and waste isolation solutions, intends to apply the funds towards two separate acquisitions over the next three years with a design towards increasing its size to approximately 250-300 employees and bolstering its position in Europe as well as the Southwestern and Southeastern U.S. Link to details

In another interesting note (though also not considered a pure transaction for the purposes of this update), multi-discipline architecture, building engineering, land development, water resources, survey, architecture, energy, environmental and transportation firm WHPacific (Anchorage, AK) announced a recent consolidation of environmental services provider Sivuniq (Anchorage, AK) into the overall WHPacific operations.  Both companies are owned by NANA Development Corporation.  Through the consolidation, WHPacific expands its level of comprehensive environmental services offered to public and private sector clients.  Further, WHPacific is now one of the largest multi-discipline architecture and engineering firms based in Alaska, with a staff of 400, 20 offices throughout the U.S. and annual revenue exceeding $60 million. Of note too is that despite its size, WHPacific'sAlaska Native Corporation ownership status allows federal prime contractors to still count subcontracts to the firm as Small Business (SB) and Small Disadvantaged Business (SDB) under their subcontracting plans. Link to details

In an interesting and noteworthy transaction (though also not considered a transaction for the purposes of this update), energy and power infrastructure contractor Primoris Services Corporation (McKinney, TX) signed a definitive agreement to acquire Q3 Contracting (Little Canada, Minnesota), a 700-person, $84 million (revenue) company specializing in small diameter pipeline and gas distribution construction and featuring customers from the gas, oil, electric and telecommunications industry. Total consideration for the deal consisted of a $48.1 million cash payment at closing and up to an additional $10 million in incentive provisions based on EBITDA performance levels achieved over the next two years.  Moving forward, Q3 will operate as part of Primoris's West Construction Services segment. Link to details
